Service Terms
These terms govern your use of Qiwang AdPilot, the Amazon advertising automation service provided by Hangzhou Qiwang Technology Co., Ltd. By creating an account or authorising the service against an Amazon advertising account, you agree to these terms on behalf of yourself and, where you act for a business, on behalf of that business.
1. Definitions
- "The service" means the Qiwang AdPilot software, the reports, the recommendations and the change execution functionality we provide.
- "Amazon services" means the Amazon Ads API, the Amazon Ads console, Seller Central and any related Amazon service you authorise.
- "Your accounts" means the Amazon advertising accounts you authorise us to access.
- "We", "us", "our" means Hangzhou Qiwang Technology Co., Ltd.
2. Your account and authorisation
To use the service you must hold, or be authorised by the holder of, an Amazon advertising account that you wish to optimise. You authorise the service through the official Amazon authorisation flow. You are responsible for all activity under your accounts and for keeping your credentials confidential.
You can revoke authorisation at any time from the Amazon Ads console. Revocation stops our access and is described further in the privacy policy.
We do not request, and you must not provide us with, your Amazon account password, two-factor authentication codes, or the credentials of any Amazon account that has administrative privileges over billing or account users.
3. Your responsibilities
You agree to the following.
- You will review recommendations before they are applied, and you remain responsible for every change applied to your accounts.
- You will set and maintain accurate guardrails, including maximum change percentage, maximum daily spend and target ACOS.
- You will keep your margin and cost information accurate if you provide it for analysis.
- You will not use the service to violate the Acceptable Use Policy, the Data Protection Policy, the Amazon Ads API licence agreement, the Amazon Advertising Agreement, or any applicable law or regulation.
- You will not use the service for any purpose other than optimising advertising for accounts you are authorised to manage.
- You will not attempt to access data belonging to accounts you have not been authorised to access.
4. Scope of the service
The service analyses advertising performance and produces recommendations. Where you enable managed execution, it may apply changes to bid values, budget values and campaign enabled status within the guardrails you configure.
The service does not modify product listings, product content, prices, promotions, fulfilment settings, payment methods, billing arrangements or account permissions. It does not create or delete advertising campaigns, and it does not read buyer personal information.
The service is an assistive tool. Recommendations are produced by automated analysis and may be wrong. You are the party that decides whether to act on them.
5. Fees and payment
Fees are set out on our pricing page or in your order confirmation, depending on the plan you select. Fees are exclusive of applicable taxes, which are shown separately and added at the point of invoice.
Invoices are issued monthly in advance for subscription plans. Payment is due within 15 days of the invoice date. If an invoice is not paid when due, we may suspend automated execution after written notice and a 14 day grace period. We do not delete your audit log or your configuration when payment is suspended.
Either party may terminate for material breach that is not remedied within 30 days of written notice. On termination, access continues to the end of the paid period, and data handling follows the deletion schedule in the privacy policy.
Refunds. Subscription plans are charged by whole monthly period. A period that has begun is not refundable, and a period that has not begun is refunded pro rata. If service is interrupted or a feature is unavailable for a reason attributable to us and does not recover within five business days, the fee for the interrupted period is refunded in full. Work billed per engagement follows the payment and acceptance terms set out in the written quote.
6. Intellectual property
We retain all rights in the service, including the software, the models, the rule engine, the report templates and the documentation. You retain all rights in your data, including your advertising data and your business information.
Nothing in these terms transfers ownership of your data to us. We claim no ownership of the analysis we produce for you; you may use the reports and recommendations for any lawful purpose.
7. Confidentiality
Each party will protect the other party's confidential information with at least the degree of care it applies to its own, and in no event less than a reasonable degree of care. Confidential information may be disclosed only to personnel and subprocessors who need to know it and who are bound by equivalent obligations. These obligations continue for five years after termination.
8. Third party services
The service depends on Amazon services that we do not operate or control. Amazon is an independent third party, and your agreement with Amazon governs your use of Amazon services. We are not responsible for the availability, modification or discontinuation of Amazon services, or for any action or inaction of Amazon.
9. Warranties and disclaimers
We warrant that we will provide the service with reasonable skill and care, and that we will comply with our obligations under the privacy policy and these terms. To the maximum extent permitted by law, and except as expressly stated, the service is provided as is and we disclaim all implied warranties including merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that the service will improve your advertising performance, that any recommendation will achieve a particular result, or that the service will be available without interruption. Advertising outcomes depend on factors outside our control, including market conditions, competition, pricing and the quality of the products being advertised.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings or loss of goodwill arising out of these terms or the service.
Our total aggregate liability arising out of or in connection with the service is limited to the greater of the total fees you paid us in the twelve months before the event giving rise to the claim, or one thousand US dollars.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.
11. Indemnity
You agree to indemnify us against claims, damages and reasonable costs arising from your use of the service in breach of these terms, your breach of Amazon's policies, or your infringement of a third party's rights.
12. Suspension and termination
We may suspend access immediately where we reasonably believe that continued operation would breach law, infringe a third party's rights, threaten the security of any account, or where we detect abuse of the service.
Where practicable we will notify you before suspending and tell you how to restore access.
On termination for any reason, we will, on request and within 14 days, export your audit log and configuration in a machine-readable format.
13. Changes to these terms
We may update these terms. We will give you at least 14 days notice by email before a material change takes effect. If you do not object within that period, the updated terms apply from the effective date. The revision date is shown at the end of this page.
14. Governing law and disputes
These terms are governed by the laws of the People's Republic of China, without regard to conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before commencing proceedings, the parties will attempt in good faith to resolve the dispute by negotiation between their respective representatives. Failing that, the courts of the People's Republic of China have exclusive jurisdiction.
15. General
Force majeure. If either party cannot perform because of an event beyond its reasonable control, such as an earthquake, flood, fire, war, industrial action, a government act or a failure of network infrastructure, the affected party will notify the other in writing within five business days of the event. The affected obligations are suspended for the duration of the event and neither party is in breach for that period.
Export control and sanctions. You must not use the service from a sanctioned country or territory, and must not use it in breach of applicable export control, sanctions or anti-money-laundering rules. Where we have a reasonable suspicion to the contrary, we may suspend the service and ask you for the information we need to complete a compliance check.
Age limit. The service is intended for businesses and is not directed at children. You confirm that you are at least 16 years old, or that the age of majority in your jurisdiction applies and you have the consent of a parent or guardian to enter into this agreement.
These terms, together with the privacy policy and any order confirmation, form the entire agreement between us. If any provision is held unenforceable, the remainder continues in effect. Neither party may assign these terms without the other party's prior written consent, except in connection with a merger or sale of substantially all assets. A failure to enforce a right is not a waiver of it. Notices to us must be sent to support@qiwangkj.com or by post to our registered address.
